VORKO — Terms of Use (End-User License Agreement)

These Terms of Use ("Terms") are a binding agreement between you and Норицын Никита Игоревич, an individual developer located in the Russian Federation operating the VORKO service ("the operator", "we", "us"). By installing, accessing or using the VORKO application ("VORKO", "the app") you agree to these Terms and to our Privacy Policy (https://v2.vorko.io/legal/privacy). If you do not agree, do not use the app.

VORKO is a business-to-business tool for foreign-trade and logistics professionals. It is not a consumer financial product and is not intended for children.


1. License

We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the app on compatible devices that you own or control, solely for your company's legitimate business use. The iOS version distributed through the Apple App Store or TestFlight is additionally subject to the Apple Usage Rules (including Family Sharing, volume purchasing and Legacy Contacts where applicable) and the Apple Media Services Terms and Conditions (the "Usage Rules" for App Store apps, https://www.apple.com/legal/internet-services/itunes/). You may not copy, modify, reverse-engineer, resell, sublicense or distribute the app except as permitted by law. These restrictions do not limit rights that apply to third-party open-source components under their own licenses, including any right to inspect, modify or reverse-engineer such components for debugging a modified library where the applicable license permits or requires it. They do not grant a license to VORKO's private source beyond those third-party rights.


2. Accounts and access

Access to VORKO is provided through a secret access key issued by your company operator together with Telegram sign-in. You are responsible for keeping your access key confidential and for all activity carried out under your account. Notify us immediately if you believe your account has been compromised. To request access to, correction of, or deletion of data, contact support. Revoking access revokes active sessions but does not mean that all Ask VA journals, company business records or records required by law are physically deleted automatically.

You must provide accurate information, be authorised to act for the company you represent, and comply with all laws applicable to your use of the app and to your trade activity.


3. Dependence on Telegram

VORKO's messaging runs on the Telegram platform. You must comply with Telegram's Terms of Service and Privacy Policy, and with any other applicable third-party service terms, when using the app. We are not affiliated with Telegram, we do not control it, and we are not responsible for the availability, content or conduct of the Telegram platform or its users. VORKO uses the Telegram API; your messages are delivered through Telegram's infrastructure.

3.1 Optional Employee Control

A company may enable the optional work-communication analysis feature, but processing of a particular employee's messages starts only after that employee gives separate explicit consent and selects the private chats available to the company bot. The employee may change the chat scope or withdraw consent at any time; withdrawal stops new collection.

For the connection, Telegram technically grants the bot rights to receive and read messages, reply and edit replies, and delete messages sent by the bot or any messages in the allowed private chats. Within Employee Control, VORKO uses the connection only to receive and analyse allowed messages and does not send, edit or delete messages on the employee's behalf. Profile, gifts, stars and story rights are not requested for this service.

Allowed message text and events are retained in raw form on VORKO servers for no more than 30 days and are sent to the configured artificial-intelligence provider to generate daily assessments and recommendations. Direct service identifiers in the transmitted envelope are replaced with pseudonyms, but the message text itself may contain personal information entered by conversation participants. The company owner and appointed company manager receive through this feature only a derived report, without raw message text and without direct access to the chats.

The company agrees to use reports only for lawful business purposes, properly inform employees and meet applicable data-protection, employment and worker-monitoring requirements. Further details about processing, retention and withdrawal are provided in the Privacy Policy and in the agreement the employee confirms when enabling the feature.

3.2 VORKO Assistant (Ask VA)

When you ask VORKO Assistant a question, VORKO processes the question text, the history you send for that conversation and optional images. The server selects facts about the company, requests, deals, purchases, files and CRM that you are allowed to access; the question, selected facts needed for the answer and images may be sent to the configured external artificial-intelligence provider. The current server route uses OpenRouter for the relevant provider profile; the actual route is selected by server configuration.

Ask VA questions, answers and sources are stored on VORKO servers in a conversation journal, including failed exchanges. History is stored on VORKO servers; the current version does not automatically delete it after a fixed period. To request access, correction or deletion, contact support; operational, dispute and legally required records may be retained longer. Ask VA does not require Employee Control opt-in.

When a question concerns CRM, the assistant may prepare a change plan. The plan does not change CRM by itself: the user must review it and tap Apply.

3.3 Company-connected channels

The sign-in token is stored on the device and sent to VORKO servers to authorize requests; the server also stores active-session information. On iOS, Keychain is used to protect the sign-in token. The personal Telegram session is maintained on the device; its secret keys are not uploaded to VORKO servers. This does not describe a company's connected WhatsApp companion. A company owner starts a QR link or pairing-code link for the shared number; the server maintains a separate linked-device session, while the QR or code exists only during linking and expires. That session state and transport data are kept in the service's encrypted local storage. Through this channel the company messages, statuses, reactions, history and attachments are processed within the service limits. This is company data, not the user's personal Telegram session.


4. User content and conduct — zero tolerance for objectionable content

VORKO lets users communicate and share content ("user content"). You are solely responsible for the user content you submit.

We have a zero-tolerance policy for objectionable, abusive, illegal or infringing content and for abusive behaviour. You agree that you will not use VORKO to create, upload, send or share content that:

  • is illegal, fraudulent, deceptive, or facilitates illegal activity (including sanctions evasion, smuggling, or trade in prohibited goods);
  • is harassing, threatening, hateful, defamatory, obscene, or otherwise objectionable;
  • infringes the intellectual-property, privacy or other rights of any person;
  • contains malware, or is spam or unsolicited bulk messaging;
  • attempts to circumvent the security, access controls or isolation between companies in the system.

We reserve the right, but are not obliged, to remove user content and to suspend or terminate the access of any user who violates these Terms, without notice. You can report objectionable content or abusive users, and block other users, from within the app. We aim to acknowledge reports within 24 hours and to act on confirmed violations within 48 hours. Where technically available for content posted through VORKO, we may apply automated or manual filters, rate limits, attachment restrictions, sensitive-content warnings, or other moderation controls before or after content is posted. By submitting user content you grant us the limited right to host, transmit and display that content as necessary to operate the service.


5. Payments and settlement records

VORKO helps companies coordinate trade deals. Payments for real goods and services (vehicles, logistics, brokerage) are made outside the app through ordinary banking channels. The app does not request or store bank-card numbers and does not execute bank transfers.

The app displays deal financial information and documents, such as deal amounts, reservation/settlement status, invoices, receipts and history, for coordination and reference. At some deal stages, the app lets you prepare and send payment information to the other deal participant and attach a receipt; this transfers deal documents and updates deal status rather than making a bank transfer. An importer company owner can reallocate an internal balance between its balance sections and pay the subscription from that internal balance. The operator provides software and does not execute bank transfers. You are responsible for your own regulatory and tax obligations arising from your trade activity.


6. Service availability

The app is provided "as is" and "as available". We try to keep the service running but do not guarantee that it will be uninterrupted, timely, secure or error-free, and we may change, suspend or discontinue features.


7. Disclaimers and limitation of liability

To the maximum extent permitted by law, the app is provided without warranties of any kind, express or implied. To the maximum extent permitted by law, the operator will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or business, arising from your use of or inability to use the app. Nothing in these Terms limits liability that cannot be limited under applicable law.


8. Termination

We may suspend or terminate your access if you violate these Terms or use the app unlawfully. To request deletion of data, contact support. Ending access does not mean that Ask VA journals, company business records or records required by law are automatically deleted. Sections that by their nature should survive termination (including Sections 5, 7 and 9) survive.


9. Apple-required terms

You acknowledge that these Terms are concluded between you and the operator only, and not with Apple; Apple is not responsible for the app or its content. The license granted to you is limited to a non-transferable license to use the app on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.

  • Maintenance and support. The operator, not Apple, is solely responsible for providing any maintenance and support for the app. Apple has no obligation to furnish any maintenance or support.
  • Warranty. To the extent permitted by law, Apple has no warranty obligation with respect to the app. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation, and any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are the operator's responsibility.
  • Product claims. The operator, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your use of it, including (i) product-liability claims; (ii) any claim that the app fails to conform to any legal or regulatory requirement; (iii) claims arising under consumer-protection, privacy or similar legislation.
  • Intellectual property. If a third party claims that the app or your use of it infringes that party's intellectual-property rights, the operator, not Apple, is solely responsible for the investigation, defence, settlement and discharge of any such claim.
  • U.S. export and end-user rules. You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties. You must not use or export the app except as authorised by U.S. law and the laws of the jurisdiction in which it was obtained, including for the development, design, manufacture or production of nuclear, missile, chemical or biological weapons. The app and documentation are "Commercial Items" and are licensed to U.S. Government end users only with the same rights granted to all other end users under these Terms.
  • Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right (and will be deemed to have accepted the right) to enforce these Terms against you.

10. Changes to these Terms

We may update these Terms. When we make a material change we will update the "Effective date" and "Document version" above, and the app will ask you to review and accept the updated Terms before you continue to use it.


11. Governing law and contact

These Terms are governed by the laws of the Russian Federation, excluding conflict-of-laws rules, and subject to any mandatory consumer-protection rights you have where you live.
